Terms of Service | InvoSeal

1. Scope and purpose

These Terms of Service govern access to and use of InvoSeal, a software-as-a-service (SaaS) platform for electronic invoicing operated by Susan Cabot SL (hereinafter "InvoSeal" or "the Provider"), a company registered in Spain with tax identification number B75682989, registered address at C/ Manacor 155 Esc. A, 07007 Palma de Mallorca, Spain.

InvoSeal enables businesses and self-employed professionals to issue, manage and store electronic invoices in compliance with Spanish Royal Decree 1007/2023 on invoicing computer systems, operating in Non-VeriFactu mode. The service is delivered via the web application at https://app.invoseal.es.

By accessing or using InvoSeal, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use the service.

    InvoSeal is designed for EU businesses issuing invoices in the Spanish format required by Royal Decree 1007/2023. The service operates under Spanish law. International users are responsible for ensuring compliance with their own local tax regulations in addition to Spanish requirements.
  

2. Access and registration

Use of InvoSeal requires creating a user account. Registration is subject to the following conditions:

You must be a company, legal entity or self-employed professional with economic activity in Spain or the European Union.
You must have a valid Spanish NIF/CIF (tax identification number) issued by the Agencia Tributaria, or an equivalent EU tax identifier.
You must be at least 18 years old. InvoSeal is not directed at or authorised for use by persons under that age.
You must provide an active, accurate email address.

Each company or professional may hold a single active account. You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account.

InvoSeal reserves the right to refuse or cancel registrations that do not meet the above requirements or that are inconsistent with these Terms.

3. Plans, pricing and billing

InvoSeal offers a range of subscription plans. Current features, limits and prices are published at /precios (pricing page). All prices are in euros and include applicable VAT where required.

Subscriptions are billed on a monthly basis and renew automatically each month on the anniversary of sign-up.
All paid plans include a 14-day free trial. No charge is made during the trial period. If the user cancels before the trial ends, no amount will be charged.
There is no minimum commitment period; you may cancel at any time.
Payment is processed by Stripe via credit or debit card. InvoSeal does not store card data.
A monthly invoice will be sent by email to the address registered in your account.

InvoSeal may update its pricing with at least 30 calendar days' notice. Price changes will not affect the billing period already in progress.

4. Cancellation and refunds

You may cancel your subscription at any time from your account settings, at no additional cost.

After cancellation, access to the service remains active until the end of the already-paid monthly period.
No refunds are issued for periods already billed or for unused portions of the current billing period.
Before your cancellation takes effect, you may export all your invoicing data in standard formats (XML, PDF, CSV) directly from the application.
30 days after the effective cancellation date, InvoSeal may delete your data from its systems, unless applicable tax law requires retention for a longer period.

5. Acceptable use

You agree to use InvoSeal lawfully and in accordance with applicable regulations. The following are expressly prohibited:

Issuing false, fraudulent or fictitious invoices that do not correspond to real economic transactions.
Using the service for any unlawful activity, including money laundering, tax fraud or tax evasion.
Violating Spanish tax law or the tax regulations of any EU member state.
Sharing account access with unauthorised third parties.
Attempting to access the systems, data or accounts of other users.
Reverse-engineering, decompiling or attempting to derive the source code of the software.
Introducing viruses, malicious code or any element that could harm InvoSeal's systems or those of third parties.

InvoSeal may immediately suspend or terminate access for any user found to be in breach of these Terms, without prejudice to any legal action that may be appropriate.

6. Service availability

InvoSeal targets a monthly service availability of 99.5%. Interruptions may occur due to scheduled maintenance, system updates, or circumstances beyond the Provider's control (force majeure, infrastructure provider failures, etc.).

Scheduled maintenance will be announced at least 24 hours in advance by email and/or in-app notice.
InvoSeal does not guarantee uninterrupted service availability and assumes no liability for damages arising from unplanned outages.

7. Intellectual property

The InvoSeal software, including its source code, design, interfaces, logos, text and all other content developed by the Provider, is the exclusive property of Susan Cabot SL or its licensors, and is protected by Spanish and international intellectual property law.

You retain full ownership of your invoicing data at all times — issued invoices, client records and any other information entered into the system. InvoSeal acquires no rights over that data beyond what is strictly necessary to provide the service.

Reproduction, distribution, modification or commercial exploitation of any element of the InvoSeal software or content is prohibited without the Provider's express written consent.

8. Data protection

The processing of users' personal data is governed by InvoSeal's Privacy Policy, available at /privacy-policy, which forms an integral part of these Terms. Please read it carefully before using the service.

9. Limitation of liability

To the maximum extent permitted by applicable law, Susan Cabot SL's total liability arising from your use of InvoSeal shall be limited to the total amount paid by you in the 12 months preceding the event giving rise to the claim.

InvoSeal shall not be liable under any circumstances for:

Indirect, consequential or incidental damages.
Loss of profits, revenue or data.
Damages resulting from your misuse of the service.
Errors or inaccuracies in data you have entered.
Your failure to comply with tax obligations to the Spanish Agencia Tributaria or any other tax authority.

    InvoSeal is a management tool. Responsibility for fulfilling tax obligations always rests with the user or their tax adviser.
  

10. Changes to these Terms

Susan Cabot SL may update these Terms of Service at any time. Material changes will be communicated with at least 15 calendar days' advance notice by email to the address registered in your account.

Your continued use of the service after the effective date of the changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the effective date without penalty.

11. Governing law and jurisdiction

These Terms are governed by Spanish law. For the resolution of any dispute arising from their interpretation or application, the parties submit to the exclusive jurisdiction of the Courts of Palma de Mallorca, waiving any other jurisdiction to which they might otherwise be entitled, unless mandatory consumer protection law provides otherwise.
